Letter to the INCAS membership - 23/05/06 - from Alan Draper, Chair.

Dear Member,

The Future of INCAS

This is to let you know that I intend to call an Emergency Meeting to resolve the above.

In view of the gravity of the situation and to ensure the best possible turnout I have submitted three dates for your consideration.

Your response, indicating suitability/intention to attend, will decide the most appropriate.

You will recall that the committee of INCAS asked for your views, about the way forward. We asked you to support:

  • Becoming a company limited by guarantee.
  • Continuing discussions with The Scottish Executive about funding support services for members
  • Co-operating with the review by Tom Shaw
  • Continuing to lobby on behalf of members.

Whilst there was a 2 to 1 majority in favour of continuing with the above policies, only 12 members actually registered a vote (8 in favour and 4 against).

It has been difficult to re-establish the committee with only myself, and John Doyle, as OSCR contact, continuing in role. My own health has been problematic and I am about to undergo a further session of surgery.

At this meeting, if we are unable to re-establish the committee than we will have no option but to invoke section 16 of the constitution.

16.Dissolution

a) Should the Management Committee decide at any time, on the grounds of expense or otherwise, it becomes necessary, or advisable, to dissolve INCAS it shall call a meeting of all INCAS members (at no less than twenty-one [21] days notice) stating the terms of the resolution to be proposed thereat.

b) Should such decision be confirmed the Management Committee shall have the authority to dispose of any assets held in the name of INCAS.

c) Any assets that remain after settling the project's debts and liabilities must be given to or transferred to one or more charitable organisations with aims similar to the project.

You will note that we are required to give a minimum of 21 days notice.

Whatever the outcome it is not my intention to continue as a member of the committee. I am saddened that we have come to this. I feel we have made considerable progress in the last two years, I would like to thank you for granting me the privilege of being the Chairman of INCAS and I hope that you are able to achieve justice in the coming years.
